Withdrawal of the takeover intention

On the basis of the provisions of the Ljubljana Stock Exchange Inc. Rules and the applicable legislation, Deželna banka Slovenije d. d. is hereby making the following announcement.

Deželna banka Slovenije d. d., Kolodvorska ulica 9, 1000 Ljubljana, is hereby withdrawing its takeover intention with respect to all the remaining shares of company Semenarna Ljubljana d. d., Dolenjska cesta 242, 1000 Ljubljana, as published in the daily newspaper Delo on 17 January 2014. Consultations with the Securities Market Agency revealed that Semenarna Ljubljana d. d. no longer falls under the scope of Article 4 of the Slovenian Takeovers Act (ZPre-1), therefore the Bank is not obliged to acquire the companys remaining shares under the takeover bid procedure as stipulated by the ZPre-1.

Despite the withdrawal of our takeover intention, Deželna banka Slovenije d. d. intends to continue with the activities aimed at purchasing all the remaining shares of company Semenarna Ljubljana d. d., and we will also take part in increasing its capital as decided at the companys recent AGM.
